Shell agrees to sell Nigerian domestic gas division to Vaaris Energy

Shell has reached an agreement to divest its domestic gas distribution business in Nigeria as part of a broader corporate streamlining effort.

By the CEII Desk, from reporting by ad-hoc-news.de

Key points

  • Shell agreed to transfer the Shell Nigeria Gas Group and associated pipeline infrastructure to Vaaris Energy.
  • The transaction includes around 170 kilometres of pipeline network supplying over 130 industrial and commercial clients.
  • The energy major intends to maintain its deepwater operations and Nigeria LNG stakes in the country.

What happened

According to Yahoo Finance, energy major Shell reached an accord on October 13 to transfer its Nigerian domestic gas distribution operations to Vaaris Energy. The transaction encompasses the Shell Nigeria Gas Group alongside a pipeline infrastructure spanning roughly 170 kilometres. This network supplies gas to upwards of 130 commercial and industrial users.

Financial terms for the proposed purchase were withheld by the parties. Finalisation of the deal remains subject to regulatory clearances, and the enterprise will continue functioning under Shell until the transaction closes, Yahoo Finance reported.

Why it matters

The divestment aligns with the corporation's ongoing portfolio simplification agenda. Rather than abandoning the country entirely, the company will preserve its presence in deepwater ventures and integrated gas operations, including its stake in Nigeria LNG. Ticker Scout noted that the agreement follows the completion of Shell's ARC Resources acquisition and follows strong second-quarter financial results, which included USD 9.84 billion in adjusted earnings.

What comes next

Operations for the gas distribution business will proceed within the corporate structure of Shell while regulatory reviews take place. Investors are awaiting the company's third-quarter results and interim dividend announcement, scheduled for October 29, 2026, which will provide further clarity on cash generation and balance sheet metrics following recent portfolio adjustments.
